End User Licence Agreement
Effective date: 26 October 2026
Licensor: PlaySubtitle.com ("we", "us", "our"). Contact: support@playsubtitle.com.
This is the licence agreement that the PlaySubtitle Video Player and PlaySubtitle Live Overlay installers show and that you accept when you install them. Our Terms of Service cover your account, plan, payment and this website.
This agreement is written in English, which is the version that governs.
Changes from the 10 October 2026 version
- 1. Two products, each with Free and Pro. The Agreement now covers PlaySubtitle Video Player (Free and Pro) and PlaySubtitle Live Overlay (Free and Pro) on equal terms. Live Overlay is no longer paid-only (sections 1, 2.2, 2.3, 2.5).
- 2. Live Overlay Pro trial of 7 days, once per Account and once per installation, with no payment details (new section 2.6).
- 3. Moving a licence to another computer: on the account page, confirmed by an e-mailed code, at most 3 moves per Account in any 12 months, no support exception (new section 2.7).
- 4. Free account needed to download from the website; the Free editions need no activation or licence check; Microsoft Store edition of the Video Player usable free without an Account and updated through the Store; activation of Pro in the browser; the app never asks for a password (new sections 2.8 and 2.9).
- 5. Plans and prices: yearly only, no monthly plan, no lifetime licence, every licence has an end date; the Software promises no price or offer (sections 2.3, 5.1, 5.6).
- 6. Licence checks now say when the Software contacts us, and that Free keeps working when a Plan ends, is refunded or is revoked (sections 5.4, 5.5).
- 7. Downloads: sources and sizes of models, and the optional Thai speech pack (sections 6.2, 6.5).
- 8. New section 15: additional terms for Live Overlay (system audio, floating bar, your content, no recording or circumvention, streaming at your own responsibility, not a certified captioning or accessibility tool).
- 9. Refund section adds chargebacks and repeated refunds, as in the website Refund Policy, and a note on the Trial (sections 9.4, 9.5).
- 10. Section 7 no longer names a third-party model. Sections 6.3 and 14.2 now match the website Terms (refund when a paid feature ends; refusing a change).
- 11. Auto-renewal disclosures (5.1), an age rule (2.8 d) and a consumer carve-out to the liability limits (11.4) are added.
- 12. Section 8.3 (NVIDIA), the liability cap amount, and the governing law (Thailand, with the consumer carve-out) are unchanged.
The agreement
This End User Licence Agreement ("Agreement") is a contract between you and us for the PlaySubtitle software. Please read it carefully. By clicking "I accept", installing, or using the Software you agree to it. If you do not agree, do not install or use the Software; if you have paid, you may ask for a refund under section 9.
1. Definitions
- Products: PlaySubtitle Video Player ("Video Player", which includes Local Player and Web Mode) and **PlaySubtitle Live
Overlay** ("Live Overlay"). Each is a separate product.
- Software: each Product, its updates, the language models and data packs it downloads, and the related documentation.
- Free edition: a Product used without a Paid licence or a Trial, within the limits that the Software shows.
- Pro: the paid features of a Product ("Video Player Pro", "Live Overlay Pro").
- Paid licence: the right to use Pro of one Product for a paid period.
- Bundle: one order that gives you a Paid licence for Video Player Pro and a Paid licence for Live Overlay Pro.
- Trial: the free Live Overlay Pro trial described in section 2.6.
- Plan: a Paid licence or a Trial recorded on your Account, with its end date.
- Account: your free PlaySubtitle account on our service. You open it with your e-mail address and confirm it with a one-time
code sent to that address. It has no password.
- Device: a personal computer on which the Software is installed and activated.
- Protected components: the parts of the Software that we deliver in compiled, encrypted or signed form, including the
compiled application, the Pro payload, licence and update verification code, and the data that they protect.
2. Licence grant
2.1 Grant. Subject to this Agreement, we grant you a personal, non-exclusive, non-transferable, non-sublicensable licence to install and use the Software on your own Devices for your own use, in object-code form only. We may end or suspend it only as section 12 allows.
2.2 Free editions. You may use the Free edition of each Product without payment and without a time limit, within its limits:
- a) Video Player Free: local and web video subtitles within the limits that the Software shows.
- b) Live Overlay Free: live speech recognition with subtitles in the language that is spoken. Translation and the other Live Overlay Pro features are not included.
The Free editions need no activation, no sign-in in the Software and no licence check, and they keep working offline once the language models have been downloaded. We may change the limits of a Free edition for future versions; the version you have installed keeps working.
2.3 Paid licence. Pro features need an active Paid licence for that Product (or, for Live Overlay Pro, an active Trial). A Paid licence lasts for the period you have paid for. Each Paid licence is for one Device at a time: one computer per Product. The Bundle licenses each of its two Products on one Device, which may be the same computer or two different computers. Every Plan has an end date. There are no lifetime licences.
2.4 Licensed, not sold. The Software is licensed, not sold. We and our licensors keep all rights not expressly granted.
2.5 Separate products. A Paid licence for Video Player Pro does not include Live Overlay Pro, and the other way round, unless your order is for the Bundle. A Plan for one Product does not change the Free edition of the other.
2.6 Live Overlay Pro trial.
- a) What you get. Full Live Overlay Pro for 7 days, free of charge. No payment details are needed, and the Trial does not turn into a paid subscription.
- b) When it starts. If the Trial offer is available at that time, the Trial starts when your Account first activates Live Overlay on a computer (in the browser, section 2.8). It runs for 7 calendar days from then, whether or not you use the Software. Using Live Overlay Free does not start it.
- c) Once only. One Trial per Account and one per installation. An Account that has already had Live Overlay Pro (a Trial or a Paid licence) does not get a Trial. Opening another Account, reinstalling or using another Windows user to get a further Trial is not allowed (section 3 h).
- d) When it ends. It ends by itself. Live Overlay then keeps working as Live Overlay Free. Models you downloaded stay on your Device.
- e) Changes. We may change or end the Trial offer for the future. A Trial that has already started runs to its end.
2.7 Moving a licence to another Device.
- a) To move a Paid licence, deactivate the old Device on your Account page at playsubtitle.com. We confirm the move with a code e-mailed to your Account address. You can then activate the new Device. You do not need the old Device to do this.
- b) Your Account can make at most 3 moves in any 12 months, counted together for all the Paid licences on it. Only a move that frees a licence counts; removing a computer that holds no licence (for example one that runs a Free edition) is free. The Account page shows how many moves are left and when the next one becomes available.
- c) At the limit, support cannot move a licence for you, and there is no exception. You can buy another licence for the other Device.
2.8 Account, download and activation.
- a) Download from our website. To download the Software from playsubtitle.com you need a free Account. You confirm your e-mail address with a one-time code. There is no password.
- b) Activation. You activate Pro, or the Trial, in your web browser: the Software opens our website ("Activate in browser"), you sign in there with your e-mail code and confirm the Device. The Software never asks you for a password.
- c) Your responsibility. One Account is for one person. Keep your e-mail account secure. You are responsible for activity under your Account. Do not share your Account, Plan or activation.
- d) Age. To open an Account or buy a Plan you must be old enough to make a binding contract where you live, or have the consent of a parent or guardian, who then accepts this Agreement for you. Our Privacy Policy explains how we treat data of children.
- e) Free editions. Using a Free edition needs no activation. The Video Player Free edition from the Microsoft Store needs no Account at all (section 2.9).
2.9 Microsoft Store edition. The Video Player is also offered in the Microsoft Store. You can use the Microsoft Store edition of the Video Player free without an Account. Updates to that edition come through the Microsoft Store. Pro in that edition still needs an Account and activation in the browser as in 2.8. Microsoft's own Store terms also apply to downloading from the Store.
3. Restrictions
You must not, and must not help anyone else to:
- a) copy, resell, rent, lease, lend, sublicense, host for others, or distribute the Software or your Paid licence, or give your Account, licence or activation to another person;
- b) reverse engineer, decompile, disassemble, decrypt, extract or otherwise try to discover the source code, algorithms, model weights, glossaries, language data, encrypted payloads or keys of the Protected components, or modify them, except to the extent that a law that cannot be waived allows this despite this clause (and then only after asking us first and giving us a reasonable chance to supply the information);
- c) remove, disable, circumvent or tamper with licence checks, activation, device binding, entitlement files, update verification, integrity checks, or any copy-protection or security feature, or use any key generator, patch, emulator or similar tool;
- d) use the Software, its output or its data to build, train, or improve a competing product or a machine-learning model, or to benchmark it for publication without our written consent;
- e) remove or change any notice of copyright, trademark, licence or attribution;
- f) use the Software to break the law, to infringe anyone's rights, or in a way that damages or overloads our services;
- g) use automated means to create Accounts or to call our services other than through the Software;
- h) try to get more than one Trial, or more moves than section 2.7 allows, for example by opening extra Accounts, reinstalling, or changing the identity of a Device.
Open-source components. The Software contains components that are licensed to you under open-source licences (listed in THIRD_PARTY_NOTICES and in the About screen). Those licences, not this section 3, govern your use of those components, including any right they give you to modify those components and to reverse engineer them for debugging such modifications.
4. Your content and your responsibilities
4.1 Processing stays on your Device. The Software processes audio, video, captions and text on your Device. This includes the sound your computer plays while Live Overlay runs (section 15). Your audio and subtitles are not uploaded to us. See our Privacy Policy for the limited data that is sent.
4.2 Your rights in content. You are responsible for having the legal right to play, listen to, transcribe and translate the material you use the Software with, and for complying with the terms of the websites, programs and services you use it with, including those you open in Web Mode. We do not provide, host or endorse any media, and we are not responsible for what you play.
4.3 Output. The subtitles and translations the Software produces for your material belong to you as between you and us. We claim no rights in them. You are responsible for how you use them.
4.4 Feedback. If you send us feedback or suggestions, you give us a free, worldwide, perpetual licence to use them without obligation to you. Feedback containing subtitle text is sent only after you have seen and approved exactly what is sent.
5. Subscriptions, payment and taxes
5.1 Yearly subscription. Paid licences are sold only as yearly subscriptions that renew automatically every year until you cancel. Each Pro is a separate yearly subscription; the Bundle is one yearly subscription for both. There is no monthly plan and no lifetime licence. Before you pay, the checkout shows the price, the yearly period and that the subscription renews automatically. Each renewal is charged on the renewal date, one year after the previous payment, to the payment method you used, at the renewal price (see 5.3). Before each yearly renewal, Lemon Squeezy sends a reminder e-mail to the address used for the order. Orders are processed by our payment provider Lemon Squeezy, which is the seller of record (merchant of record) and handles payment, invoices, currency and tax under its own terms.
5.2 Cancellation. You can cancel online at any time from the link in your receipt, from the billing link on your Account page (both lead to Lemon Squeezy), or by writing to support@playsubtitle.com. Cancelling stops the next renewal; your Paid licence keeps working until the end of the period you have paid for. We do not refund the unused part of a period except as set out in section 9 or where the law requires.
5.3 Price changes. The price shown at checkout applies to your first period. We will tell you at least 30 days before a renewal if the renewal price will change, so that you can cancel first.
5.4 When a Plan ends. When a Plan ends, is cancelled and runs out, is refunded, is charged back or is revoked, or when a Trial runs out, the Pro features of that Product stop and the Product returns to its Free edition. Your settings, files and downloaded models stay on your Device.
5.5 Licence checks. The Free editions of both Products need no Account sign-in and no licence check, and keep working offline (2.2). Once a Device has been activated with your Account, the Software contacts our service on a schedule to confirm the Plan, and Live Overlay also does so each time it starts. Pro keeps working without a connection for a limited period (currently up to 30 days). If the Plan cannot be confirmed within that period, the Pro features pause until it can; the Free edition keeps working. At activation and at each check the Software sends only a random installation identifier created on your Device, its public key, the computer name set in Windows, the app version and the platform (Windows, x64 or arm64); never your audio, video or subtitles. Telemetry is off unless you turn it on. The Privacy Policy gives the details.
5.6 Prices and offers. Prices are shown on playsubtitle.com and at checkout at the time of purchase, in US dollars. Lemon Squeezy may show a local equivalent and add the taxes that apply where you live. We do not currently offer regional prices. Nothing in the Software is an offer or a promise of a price; the price at checkout applies.
5.7 Failed renewal payment. If a renewal payment fails, we may give a short grace period before the Plan stops. Pro then stops as described in 5.4.
6. Updates, downloads and changes
6.1 Updates. For copies installed from playsubtitle.com, new versions are offered in the Software. The Software checks for updates only if you allow it, or when you ask it to. An update is verified with a digital signature and a fingerprint before it is offered and is installed only when you click Install. The Microsoft Store edition is updated through the Microsoft Store, under your Store settings.
6.2 Downloads. The Software downloads language models and data from huggingface.co and from our own servers and delivery network. Some downloads are large: Live Overlay Free downloads about 2 GB once, and more when translation starts with the Trial or Pro. Your internet provider may charge for the data. These downloads are subject to their own licences, listed in THIRD_PARTY_NOTICES, which you accept by using them.
6.3 Changes to the Software. We may add, change or remove features, including the limits of the Free editions and the Trial offer, and may stop supporting old versions or old operating systems. If we end a paid feature during a period you have paid for, we will refund the unused part of that period, unless you choose to accept a replacement feature that we offer instead.
6.4 No obligation to provide support beyond the support we describe at playsubtitle.com. We will make reasonable efforts to answer questions sent to the support address.
6.5 Optional Thai speech pack. The Software can download an optional Thai speech recognition pack, only after you choose it in Settings. It is a third-party model licensed under the Creative Commons Attribution 4.0 licence (CC BY 4.0). Its publisher also asks users to accept its own terms and conditions, named in THIRD_PARTY_NOTICES. By downloading the pack you accept those terms for it.
6.6 Where to get the Software. Install the Software only from playsubtitle.com or the Microsoft Store.
7. Intellectual property
The Software, its look and feel, names, logos and the Protected components are owned by us or our licensors and are protected by copyright, trade-secret, trademark and other laws. "PlaySubtitle" and "Live Overlay" are our names. Nothing in this Agreement gives you a right to use them except to identify the Software truthfully. Third-party names (for example Qt and NVIDIA, and the models listed in THIRD_PARTY_NOTICES) belong to their owners and are used only to refer to the respective projects.
8. Third-party components and services
8.1 The Software includes open-source and third-party components under their own licences, listed in THIRD_PARTY_NOTICES and in the About screen. Model files and data you download are subject to their own licences.
8.2 Web Mode and links open third-party websites and services. We do not control them and are not responsible for them.
8.3 NVIDIA components. For GPU acceleration the Software includes NVIDIA CUDA and cuDNN runtime libraries (the "NVIDIA Components"). They are provided only for use by the Software. You may not: (a) reverse engineer, decompile or disassemble them, or remove copyright or other proprietary notices from them; (b) copy, sell, rent, sublicense, transfer, distribute or modify them, or use them as a stand-alone product; (c) bypass, disable or circumvent any security or authentication mechanism in them; (d) use them in a way that would make them subject to an open-source licence; (e) use the Software with the NVIDIA Components in any system where a failure could threaten human life or cause catastrophic damage; or (f) say that the Software is sponsored or endorsed by NVIDIA. NVIDIA and its licensors own the NVIDIA Components and may enforce this section 8.3 for their rights in them. The NVIDIA Components are provided "as is", without any warranty from NVIDIA, and NVIDIA is not liable to you for them. In a conflict between this section 8.3 and section 3 or section 8.1, this section 8.3 applies to the NVIDIA Components.
8.4 Lemon Squeezy (payments) and Microsoft (the Microsoft Store) provide their services under their own terms. We are not responsible for their services.
9. Refunds
9.1 7-day refund. You may ask for a full refund within 7 days of any payment, including a renewal payment, for either Product or the Bundle, by writing to support@playsubtitle.com from the email used for the purchase, or through the refund link in your Lemon Squeezy receipt where it is offered. No reason is needed. Refunds are paid through Lemon Squeezy to your original payment method. After a refund, the Paid licence ends, your Devices are released, and the Product returns to its Free edition. Our Refund Policy on playsubtitle.com gives the details.
9.2 After 7 days. We do not usually refund after 7 days, but if something went wrong (for example a technical problem we could not fix, a duplicate payment, or a renewal you did not expect) tell us and we will look at it fairly.
9.3 Your legal rights. Nothing in this section limits any right to a refund or remedy that you have under a law that cannot be waived, including consumer protection laws that apply where you live.
9.4 Trial. The Trial is free, so there is nothing to refund. It is the way to check that Live Overlay Pro runs well on your computer before you buy.
9.5 Chargebacks and repeated refunds. Please contact us before you dispute a payment with your bank; we can usually fix the problem faster. A chargeback ends the Paid licence. If a person repeatedly buys and refunds in a way that looks like misuse, we may decline further refunds or sales to them.
10. Accuracy, no warranty
10.1 Speech recognition and machine translation can be wrong, incomplete, late or unsuitable. Subtitles, including live subtitles, are an aid and are not a certified, professional or legal translation or transcription. Do not rely on the Software for medical, legal, safety-critical, financial or other decisions where an error could cause harm.
10.2 TO THE FULLEST EXTENT THE LAW ALLOWS, THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. We do not promise that the Software will be uninterrupted, error-free, compatible with every computer, program or video source, or free of harmful components, or that our services will always be available.
10.3 Nothing in this Agreement excludes a warranty or remedy that cannot be excluded by law.
11. Limitation of liability
11.1 TO THE FULLEST EXTENT THE LAW ALLOWS, we and our licensors, suppliers and service providers are not liable for any indirect, incidental, special, consequential or punitive loss, or for loss of profits, revenue, data, goodwill or business, arising out of or related to this Agreement or the Software, even if we were told it was possible.
11.2 TO THE FULLEST EXTENT THE LAW ALLOWS, our total liability for all claims relating to the Software and this Agreement is limited to the greater of (a) the amount you paid us (through Lemon Squeezy) for the Software in the 12 months before the event that caused the claim and (b) 1,000 Thai baht.
11.3 Nothing in this Agreement limits or excludes liability for death or personal injury caused by negligence, for fraud or intentional or grossly negligent acts, or for anything else that cannot be limited or excluded by law.
11.4 Consumers. If you are a consumer, sections 11.1 and 11.2 apply only as far as the consumer law of the country where you live allows. In particular, they do not limit your statutory remedies for paid digital content that does not conform to the contract, or our liability for foreseeable loss caused by our breach, including damage to your Device or to other digital content that the Software causes where we did not use reasonable care and skill.
12. Term, suspension and termination
12.1 Term. This Agreement lasts until it is ended.
12.2 By you. You may end it at any time by uninstalling the Software and cancelling any subscription.
12.3 By us. We may suspend or end your Plan, and your right to use the Software, if you materially breach this Agreement (for example sections 3, 5 or 15.4), if a payment is reversed or charged back, if a Trial was obtained in breach of section 2.6, or if the law requires. Where we reasonably can, we will tell you why and give you a chance to fix it first. If we end your Paid licence for convenience, we will refund the rest of the paid period.
12.4 Effect. On ending, your licence stops; you must stop using the Paid features and delete the Software if we ask you to. The following survive: sections 3, 4.4, 7, 8, 10, 11, 12.4, 13, 14 and 15.3 to 15.5.
13. Governing law and disputes
13.1 This Agreement is governed by the laws of the Kingdom of Thailand, without regard to its conflict-of-law rules.
13.2 We will first try to settle any dispute in good faith: write to support@playsubtitle.com and allow 30 days. If it is not settled, the courts of Thailand have exclusive jurisdiction, except that (a) nothing deprives you, if you are a consumer, of the protection of mandatory consumer laws of the country where you live or of any right to bring a claim in the courts there, and (b) we may seek urgent relief in any court to protect our intellectual property.
14. General
14.1 Entire agreement. This Agreement, the Terms of Service and Refund Policy on playsubtitle.com, the Privacy Policy and any order for a Paid licence are the whole agreement about the Software and replace earlier understandings. In a conflict about the licence to use the Software this Agreement governs; about your Account, Plan, payment and the website the Terms of Service govern; the order governs about price and period.
14.2 Changes to this Agreement. We may update this Agreement. A new version applies from its publication date to new installations and purchases, and to existing Paid licences from the next renewal (or earlier if the law requires or the change benefits you). We will show material changes in the Software or by email before they apply. If you do not accept a change, you may cancel before it applies to you and ask for a refund of the unused part of your current period.
14.3 Assignment. You may not transfer this Agreement without our written consent. We may transfer it to a successor of our business and will tell you.
14.4 Severability and waiver. If a part of this Agreement is unenforceable, the rest remains in force, and the unenforceable part is replaced by the closest enforceable one. Not enforcing a right is not a waiver of it.
14.5 Events beyond control. Neither side is liable for failure caused by events beyond its reasonable control, except for payment obligations.
14.6 Export and sanctions. You will not use the Software where it is prohibited by applicable export-control or sanctions law.
14.7 Notices. We may give notice by email to the address on your Account, or in the Software or on playsubtitle.com. You may give notice to support@playsubtitle.com.
14.8 Language. This Agreement is written in English, which is the version that governs. A translation is for convenience only.
14.9 Contact. Questions about this Agreement: support@playsubtitle.com.
15. Additional terms for Live Overlay
15.1 What Live Overlay does. Live Overlay listens to the sound your computer plays (system audio), not your microphone, and shows subtitles in a floating bar drawn over your other programs. Live Overlay Free shows the words in the language spoken; Live Overlay Pro (and the Trial) adds translation and the other Pro features.
15.2 On your Device. Recognition and translation run on your Device. The models download once (section 6.2). The audio is not uploaded to us.
15.3 Your content and other people. You are responsible for having the right to listen to, caption and translate the content you use Live Overlay with, and for following the terms of the programs and services that play it. If the sound includes other people, for example in a call or a meeting, you are responsible for any notice or consent that the law requires.
15.4 No recording, redistribution or circumvention. Do not use Live Overlay to record, copy or redistribute third-party content, or to remove, bypass or defeat any copy protection, access control or other technical measure that protects it.
15.5 Streaming and broadcasting. If you show the floating bar in a live stream, broadcast, recording or public showing, you do so at your own responsibility, including for the rights in the content and for any errors in the subtitles.
15.6 Not a certified tool. Live Overlay is not a certified accessibility, captioning or real-time transcription (CART) service, and not a medical, legal or emergency tool. Do not use it where you need certified or guaranteed accuracy, or to receive safety or emergency information.
15.7 Machine output can be wrong. Live subtitles and translations can be wrong, incomplete, late or missing (section 10).
15.8 Compatibility. Some programs, games or protected content may not allow audio capture or a bar drawn over them, and performance depends on your computer. We do not promise that Live Overlay works with every program or computer; the Trial lets you check first.
